These Referral Program Terms (“Referral Terms”) govern participation in the SavvySpark referral credit program (the “Program”) offered by SavvySpark Inc., a Texas corporation (“SavvySpark,” “we,” “us,” or “our”). These Referral Terms are incorporated into and form part of our Subscription Agreement (or Enterprise MSA, as applicable, the “Agreement”). Capitalized terms not defined here have the meanings given in the Agreement.

By participating in the Program — including by sharing a referral link, signing up through a referral link, or accepting a referral reward — you agree to these Referral Terms.


1. OVERVIEW

The Program lets existing SavvySpark customers (“Referrers”) invite new customers (“Referees”) to SavvySpark. When a qualifying referral is completed, both the Referrer and the Referee may receive SavvySpark account credit, subject to these Referral Terms.

These Referral Terms govern the referral credit program only. They do not govern the separate SavvySpark cash affiliate program (administered through a third-party platform), which is governed by its own affiliate program terms. See Section 11 (Relationship to the Affiliate Program).


2. ELIGIBILITY

2.1 Referrer eligibility. To participate as a Referrer, you must have an active SavvySpark Account in good standing and a unique referral link made available to you within the Services.

2.2 Referee eligibility. A Referee must be a new SavvySpark customer — that is, a new Account and workspace that has not previously registered for the Services — and must sign up using the Referrer’s unique referral link. An existing or previously registered Account, workspace, or user does not qualify as a Referee.

2.3 One referral per Referee. Each Referee workspace may be referred only once and may generate a referral reward only once. A workspace cannot qualify as a Referee under more than one referral link.

2.4 Age and authority. All participants must meet the age and authority requirements in Section 2 of the Agreement.


3. REWARDS

3.1 Reward amounts. For qualifying referrals to SavvySpark, the Referrer earns fifty U.S. dollars ($50) in SavvySpark account credit, and the Referee earns fifty U.S. dollars ($50) in SavvySpark account credit. Reward amounts are as displayed in the Program interface at the time of the referral and may vary by product and over time (see Section 8).

3.2 Nature of the credit. All Program rewards are SavvySpark account billing credit only. Account credit:

(a) is applied automatically against your future SavvySpark subscription charges and other fees payable under the Agreement;

(b) has no cash value, is non-transferable, is not redeemable for cash, and is not refundable;

(c) cannot be exchanged, sold, assigned, or combined across separate Accounts; and

(d) does not earn interest and is not a deposit, gift card, stored-value instrument, or negotiable instrument.

3.3 Application of credit. Account credit is applied to the next applicable invoice(s) on the receiving Account until exhausted. Credit is consumed before charges to your payment method. If your Account closes, any unused credit is forfeited and has no value.

3.4 Taxes. You are responsible for any taxes that may apply to rewards you receive under the Program. You are responsible for determining whether your receipt of a reward must be reported to any tax authority.


4. HOW A REFERRAL QUALIFIES

4.1 Sign-up. The Referee must create a new SavvySpark Account and workspace by using the Referrer’s unique referral link.

4.2 Qualifying payment. The referral becomes eligible for rewards only when the Referee starts a paid plan and SavvySpark successfully bills and collects the Referee’s first non-comped paid invoice. A free trial, a comped subscription, a $0 invoice, an invoice fully offset by credits or discounts, or any invoice that is not actually collected does not qualify.

4.3 Referee reward timing. The Referee’s $50 account credit is granted once the Referee’s first qualifying payment is successfully collected under Section 4.2.

4.4 Referrer reward timing and holding period. The Referrer’s $50 account credit is held when the Referee’s first qualifying payment is collected and is granted after a thirty (30) day holding period, during which the Referee must remain an active, paying SavvySpark customer in good standing. If the Referee is no longer a paying customer at the end of the holding period — including by reason of cancellation, downgrade to a non-paid plan, refund, failed payment, or chargeback — the Referrer’s reward does not vest and is forfeited.


5. REVERSAL, CLAWBACK, AND FORFEITURE

5.1 Clawback on reversed payment. If the Referee’s qualifying payment is later reversed, refunded, disputed, charged back, or otherwise not retained by SavvySpark — including a refund within the 14-day annual-plan refund window described in Section 8.5(a) of the Agreement, a successful payment dispute under Section 7.12 of the Agreement, a failed or reversed payment under Section 7.11 of the Agreement, or a chargeback — then the referral ceases to qualify and any related credit is clawed back or forfeited.

5.2 Method of clawback. SavvySpark may recover an already-granted reward by deducting an equivalent amount from the recipient’s account credit balance, applying an offsetting charge or debit to the Account, withholding the reward if not yet granted, or any combination of the foregoing.

5.3 Cancellation during holding period. If the Referee cancels, fails to pay, or otherwise stops being a paying customer during the holding period in Section 4.4, the Referrer’s pending reward is forfeited.


6. ANTI-ABUSE AND PROHIBITED CONDUCT

6.1 No self-referral. You may not refer yourself or refer an Account, workspace, or user that you, or a person acting in concert with you, control or benefit from. Prohibited self-referral includes, without limitation, referring yourself through additional or secondary Accounts, alternate or disposable email addresses, or newly created workspaces, in order to claim a reward on either side of the referral.

6.2 No fraud, spam, or incentivized abuse. You may not:

(a) create fake, duplicate, or automated Accounts to generate referrals;

(b) purchase, sell, trade, or pay for referrals, or offer unauthorized incentives in exchange for sign-ups;

(c) distribute referral links through spam, unsolicited messaging, deceptive advertising, paid search on SavvySpark trademarks, or any unlawful or misleading means;

(d) misrepresent your relationship with SavvySpark; or

(e) otherwise abuse, manipulate, or circumvent the Program or these Referral Terms.

6.3 Detection and enforcement. SavvySpark may use payment-instrument, device, network, billing, identity, and other signals to detect self-dealing and abuse. Where we reasonably suspect fraud, self-referral, or any violation of these Referral Terms or of Section 4 (Use Restrictions) of the Agreement, we may, in our sole discretion and without prior notice:

(a) withhold, void, reverse, or claw back any reward;

(b) disqualify the Referrer, the Referee, or both, from the Program;

(c) suspend or terminate the implicated Account(s) under Section 9 of the Agreement; and

(d) take any other action permitted by the Agreement or applicable law.

6.4 Final determination. SavvySpark’s determination of eligibility, qualification, and abuse under the Program is final.


7. PROGRAM LIMITS

7.1 No fixed cap at launch. SavvySpark does not impose a fixed cap on the number of qualifying referrals a Referrer may earn at the time these Referral Terms take effect.

7.2 Reserved right to limit. SavvySpark reserves the right to impose per-Account, per-period, or aggregate limits on referrals or rewards, including to prevent fraud or abuse, at any time and in its sole discretion.


8. CHANGES TO OR TERMINATION OF THE PROGRAM

8.1 SavvySpark may modify, suspend, or terminate the Program, or change reward amounts, eligibility criteria, qualification requirements, holding periods, or any other aspect of these Referral Terms, at any time and in its sole discretion, with or without notice.

8.2 Changes apply prospectively. A referral’s reward eligibility is governed by the version of these Referral Terms and the reward amount displayed in the Program interface at the time the referral link was used to sign up, except that anti-abuse, clawback, and forfeiture provisions apply at all times.

8.3 Termination or suspension of the Program does not entitle any participant to compensation for unvested or pending rewards, except for account credit already granted and not subject to clawback under Section 5.


9. RELATIONSHIP TO THE AGREEMENT

9.1 Incorporation. These Referral Terms are part of, and incorporated by reference into, the Agreement. In the event of a conflict between these Referral Terms and the Agreement regarding the Program specifically, these Referral Terms control; in all other respects the Agreement controls.

9.2 Defined terms and general provisions. Capitalized terms not defined here have the meanings given in the Agreement. The general provisions of the Agreement — including Section 12 (Limitation of Liability), Section 16 (Modifications), and Section 17 (General Provisions) — apply to your participation in the Program.


10. GOVERNING LAW AND DISPUTE RESOLUTION

These Referral Terms are governed by the laws of the State of Texas, and any dispute relating to the Program is subject to the dispute resolution, arbitration, class-action-waiver, and venue provisions of Section 14 of the Agreement, without regard to conflict-of-laws principles. Nothing in these Referral Terms limits any rights you may have under mandatory consumer protection laws of your jurisdiction that cannot be waived by contract.


11. RELATIONSHIP TO THE AFFILIATE PROGRAM

The Program (referral account credit) is separate and distinct from the SavvySpark cash affiliate program. The affiliate program is administered through a third-party platform and is governed by its own separate terms. Earning referral account credit under these Referral Terms does not entitle you to affiliate commissions, and participation in the affiliate program is not governed by these Referral Terms. You may not claim both a referral reward and an affiliate commission for the same Referee.


12. DISCLAIMER

THE PROGRAM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAVVYSPARK DISCLAIMS ALL WARRANTIES RELATING TO THE PROGRAM, AND SAVVYSPARK’S LIABILITY RELATING TO THE PROGRAM IS SUBJECT TO THE LIMITATIONS IN SECTION 12 OF THE AGREEMENT.
